REPRESENTATIVE MATTERS AND CASES
- Represented a central state-owned enterprise before a Beijing court in a performance compensation dispute with the original shareholders of the target company, involving a claim amount of 1 billion RMB, and achieved a complete victory.
- Represented a central state-owned enterprise in a share transfer dispute with a local state-owned enterprise, involving a control rights battle over an A-share listed pharmaceutical company valued at nearly 10 billion RMB. The case achieved a complete victory and was featured on the official platform of the Supreme People’s Court.
- Represented investors, target companies, or founders in multiple share repurchase cases through court procedures, BAC procedures and CIETAC procedures.
- Represented the heir of the founder of a well-known pharmaceutical company in handling related shareholder disputes.
- Represented a Sino-foreign joint venture in responding to a series of lawsuits initiated by the Chinese shareholder, including company dissolution dispute, disputes over damage to company interests, and shareholder rights disputes related to capital contribution. These lawsuits aimed at gaining control of the company. Assisted the client in resolving the company crisis and successfully addressing historical disputes between the shareholders.
- Represented the foreign shareholder of a Sino-foreign joint venture in handling a dispute with the Chinese shareholder regarding the change of the company’ s organizational structure. The case involved the issue of how the company’s highest decision-making body could be changed from the board of directors to the shareholders’ meeting during the five-year transition period under the Foreign Investment Law, in the face of non-cooperation from the Chinese shareholder. Through strategic design and litigation, the client successfully completed the change of the highest decision-making body and the revision of the company’s articles of association.
- Represented multiple clients in resolving shareholder information rights disputes, company resolution disputes, disputes over damage to company interests, and company dissolution disputes.
- Provided legal advice to several clients on prenuptial agreements, postnuptial agreements, divorce property division, child custody, etc.; drafted legal documents including postnuptial agreements and divorce agreements; and assisted clients in communicating and negotiating with their spouses.
- Acts for clients in multiple reputation infringement cases.
- Represented a client in a divorce proceeding in the Shanghai court, involving the division of marital property such as equity and real estate worth over hundreds of millions RMB
- Representing a trust company in an enforcement proceeding before a Beijing court concerning a notarized debt instrument with a claim in excess of RMB 400 million, involving the disposal of an office building and residential units in Beijing.
- Represented a commercial bank in litigation before the Higher People’s Court of Beijing Municipality regarding the scope of the pledge rights in an RMB 1.4 billion equity pledge contract
- Acted for a state-owned securities company in arbitration before the Shanghai Arbitration Commission on a bond pledge repurchase dispute, with a claim of approximately RMB 140 million, securing a full award and complete recovery of the disputed funds.
- Represented an A-share listed company in a contract guarantee dispute arising from the irregular guarantee practices implemented by the company’s controlling shareholder.
- Representing a leading domestic environmental company in defending claims and advancing counter claims in CIETAC arbitration over a dispute with the general contractor for the company’s overseas EPC project.
- Representing a renowned drive motor manufacturer in CIETAC arbitration against an automotive parts company over a dispute concerning production line delivery.
