Professional Background

Mr. Chen joined Fangda as a partner in 2019. Before joining the firm, he was the head of the legal department of a US-listed company. Before that, Mr. Chen worked in the New York, the Beijing and the Hong Kong offices of several Wall Street law firms.

  • Advised companies and investment banks on a wide range of corporate transactions, including domestic and cross-border mergers and acquisitions, corporate financing, going-private transactions, restructurings and joint ventures (such as Alibaba’s 100% acquisition of NetEase Kaola, Kingsoft Cloud’s acquisition of controlling interests in Camelot, CNPC’s outbound investment in the US, equity or equity-linked financings by companies including Gaosi Education, 4paradigm and ULSee, overseas investment by ByteDance, JinkoSolar’s spinoff of its downstream business, privatization of Focus Media and Sky Mobi, multiple US-listed companies’ corporate restructuring, outbound investment, disposal of assets and carve-out transactions)
  • Advised multiple private equity firms, such as Boyu, Hillhouse, CICC, Yunfeng, Hopu, PAG, SoftBank, Primavera, BOCI, Asia Investment Fund, Jeneration Capital, and China Resources Capital in a wide range of portfolio investments in the Internet, e-commerce, technology, AI, logistics, pharmaceutical, gaming and education sectors
  • Advised Alibaba, Ant Financial, Hundsun Electronics, XPeng, DJI, Kingsoft Cloud and Focus Media, in a wide range of investments in the Internet, e-commerce, media, local mobility, logistics and technology sectors
  • Advised issuers and underwriters on a wide range of equity offerings in the US, including Alibaba Group’s US$25 billion US IPO, as well as SEC-registered offerings of multiple companies, such as BEST Inc., XPeng, Yatsen Holding, PPDai, China Rapid Finance, iClick, Vipshop, China Biologic Products, LightInTheBox, and China Ming Yang Wind Power
  • Advised on a wide range of exempted transactions, including Rule 144A/Regulation S debt offerings and Hong Kong listings, such as Alibaba’s US$1.8 billion private placement of convertible preference shares, Tencent’s senior notes offering totaling US$1.2 billion, convertible bond offerings by 51job and BEST Inc., bond offerings by multiple KKR portfolio companies, Hong Kong listings of XPeng, Honworld Group, Asia Info, Hansoh Pharmaceutical  and companies in technology, healthcare, education, real estate and consumer goods sectors
