Fangda assists Prologis in issuing its public infrastructure REIT

On December 19, 2025, the ChinaAMC Prologis Warehousing and Logistics Closed-Ended Infrastructure Securities Investment Fund (“Prologis REIT”, fund code 180306) officially commenced trading on the Shenzhen Stock Exchange. The Prologis REIT raised total proceeds of approximately CNY 2.448 billion.

Prologis is a globally leading investor, developer, and operator of logistics and warehousing infrastructure. It has established REIT platforms in multiple countries worldwide and possesses extensive international experience in REIT management. Prologis’s global logistics and warehousing network spans 20 countries across four continents. The issuance of the Prologis REIT marks a significant step forward in the internationalization of China’s public REIT market. As a representative product through which a foreign-invested institution actively participates in China’s infrastructure investment via REITs, the transaction further enhances the openness and international appeal of Chinese capital markets.

The initial underlying assets of the Prologis REIT consist of the Prologis Guangzhou Development Zone Logistics Center, the Prologis Dongguan Shipai Logistics Center, and the Prologis Dongguan Hongmei Logistics Center, with an aggregate appraised value of approximately CNY 2.171 billion and a total gross floor area exceeding 349,000 square meters. All three assets are located in the Guangdong-Hong Kong-Macao Greater Bay Area, where demand for warehousing and logistics is extremely strong. They serve a large consumer base and a mature retail business network by covering multiple major and medium-sized cities such as Guangzhou, Dongguan, Foshan, and Zhongshan, offering prominent location advantages.

Fangda Partners acted as the legal counsel to the issuer, providing full-process legal services for the issuance of the REIT. The transaction was jointly supported by Fangda’s Corporate, Real Estate, and Banking & Finance teams.
