PROFILE

Mr. Su has more than 18 years of experience in the practice of dispute resolution. Mr. Su has represented clients in various litigation and arbitration cases across all levels of PRC courts including without limitation the Supreme People's Court and the Guangdong High People's Court as well as the major domestic arbitration institutions. Mr. Su has extensive experience in procedures of dispute resolution as well as profound understanding of substantive aspects of laws, especially in the fields of finance, asset management, real estate, construction and equity transaction etc. 

In addition, Mr. Su has extensive experience in company liquidation and bankruptcy, including bankruptcy liquidation, bankruptcy restructuring, compulsory liquidation, self-liquidation and a wide range of other insolvency and liquidation areas. Mr. Su also represents domestic and international financial institutions and asset management companies on the acquisition, transfer, management, due diligence, disposal and recovery of large NPL projects. 

Mr. Su also has very professional and comprehensive experience in the area of labor and personnel legal services. He is adept at handling labor disputes as well as non-contentious labor matters. Mr. Su has served a wide range of clients, including “Fortune Global 500” companies, central and state-owned enterprises, representative offices of foreign enterprises in China, and private venture startup companies from across traditional and new industries including healthcare, financial investment, manufacturing, real estate and infrastructure, professional service agencies, education and culture, technology and media, etc. 

Prior to joining Fangda Partners, Mr. Su was a partner of a leading PRC law firm. Before that, he has worked in a Guangzhou court for years. 

Mr. Su is the in-charge person of a registered institutional administrator of the Guangdong High People’s Court and the Guangzhou Intermediate People’s Court. Mr. Su is also a member of the Guangdong Association of Bankruptcy Administrators, member of the Special Committee of Distressed Enterprise Investigation, individual member of INSOL International, and member of Bankruptcy Law and Restructuring Research Centre of China University of Political Science and Law.

  • Represented the controlling shareholder and actual controller of an A-share listed company in handling an arbitration case arising from the transfer of shares and actual control of a listed company by agreement before the Shenzhen Court of International Arbitration, with the amount in dispute around RMB 400 million;
  • Represented six natural-person shareholders in handling a litigation case over equity transfer contract against an investment company and a fund subordinate to a well-known real estate enterprise before the Guangdong High People's Court for first instance and the First Circuit Court of the Supreme People's Court for second instance, with the value of the cooperation agreement involved in the case around RMB 2.18 billion;
  • Represented a well-known entrepreneur who was the former chairman of an A-share listed company and one of the Top Ten Economic Influential Figures in Guangdong Province, in handling a series of litigations over the validity of company resolutions and equity transfer against the major shareholders of a group company, with the amount in dispute exceeding RMB 150 million;
  • Represented a major shareholder of a pre IPO company in handling a series of disputes over liability for jeopardizing the company’s interests against the minority shareholders, with the amount in dispute over RMB 50 million;
  • Represented an A-share listed securities company in handling an equity repurchase arbitration case against the major shareholder arising from the delisting of a NEEQ company before CIETAC;
  • Represented the controlling shareholder and actual controller of an A-share listed company in the administrative reconsideration and hearing procedures of the administrative penalty imposed by the CSRC;
  • Represented an A-share listed company in a series of arbitration cases arising from supply chain financing, with the amount in dispute over RMB 270 million;
  • Represented the shareholders of a Guangdong chemical company in a dispute over equity transfer, the disputed amount of which is approximately RMB 16 million.
  • Represented the Shenzhen Branch of a Hong Kong-invested bank in handling four litigation cases over financial loan contracts against two Hong Kong listed real estate enterprises, with the amount in dispute approximately RMB 830 million;
  • Represented a commercial bank in Guangdong in handling a bond transaction dispute against a group company arising from the overdue payment of perpetual bonds, of which the amount in dispute is over RMB 100 million;
  • Representing a Beijing investment management company in a business trust litigation against an A-share listed trust company arising from the overdue payment of a trust product, of which the amount in dispute is over RMB 50 million;
  • Represented an A-share listed securities company in handling a series of arbitration cases against four natural-person investors before the Shenzhen Court of International Arbitration arising from entrusted wealth management contracts in relation to a specific asset management plan where the securities company simultaneously acted as sales consultant, financial consultant and custodian;
  • Represented an asset management company owned by a public fund in handling an equity transfer litigation against the major shareholder of a NEEQ listed enterprise, the disputed amount of which exceeds RMB 63 million;
  • Representing a well-known domestic financial institution in handling two enforcement cases of notarized debt instruments involving the disposal of pledged stocks of an A-share listed company, with the enforcement amount approximately RMB 270 million;
  • Representing a high net worth investor in handling arbitration and litigation cases of entrusted wealth management disputes arising from a financial product subscribed by the client, the disputed amount of which is around RMB 50 million;
  • Represented a BVI company in a litigation of guarantee contact dispute arising from default of a convertible bond subscribed by the client, the disputed amount of which is around RMB 50 million;
  • Represented a securities company in handling a Treasury bond transaction dispute against a municipal housing provident fund management center and a branch of China Securities Depository and Clearing Corporation Limited.
  • Represented a Hong Kong listed company in handling a litigation case over a joint venture and cooperative real estate development project located in core areas of Chengdu, Sichuan Province against a mainland China A-share listed company and its controlling shareholder and actual controller, with the amount in dispute exceeding RMB 560 million;
  • Represented a Guangzhou industrial company in an arbitration case over construction project payment against a Shandong real estate development enterprise before Guangzhou Arbitration Commission, with the amount in dispute approximately RMB 270 million;
  • Represented a Guangdong property company in handling a retrial case over gift contract with collateral obligations in the procedure of public bidding, auction and listing of the state-owned land use right against a Foshan company, with the amount in dispute around RMB 20 million;
  • Represented a Guangzhou construction contractor in handling a dispute over construction contract, with the amount in dispute around RMB 11 million;
  • Represented a Dongguan real estate company in a retrial case over a commercial housing pre-sale contract against a Dongguan real estate development enterprise, with the amount in dispute around RMB 40 million.
  • Acting as administrator or liquidator appointed by the Guangzhou Intermediate People’s Court and the primary courts in its jurisdiction in the bankruptcy liquidation proceedings or compulsory liquidation proceedings of dozens of enterprises from various industries and working as the in-charge person of the administrator or liquidator.   • Represented an industry investor in the restructuring of Founder Group and acquiring the equity of a core subsidiary of Founder Group as the sole investing entity through the restructuring proceedings;
  • Represented a Guangdong A-share listed company to participate in the restructuring of a large refrigeration equipment company in Yangjiang, Guangdong Province as the intended restructuring party;
  • Represented an internationally well-known hedge fund as a creditor in the restructuring proceedings of an A-share listed company, with the total amount of claims approximately RMB 1.15 billion;
  • Represented several financial institutions and suppliers as creditors in the restructuring proceedings of HNA and filing litigations against HNA for claims confirmation;
  • Acted as legal counsel for an industrial investment fund managed by a state-owned enterprise, as a creditor in the complicated bankruptcy restructuring of its debtor as well as multiple litigation proceedings against its debtor, an enterprise running a large-scale wind power project in Yunnan;
  • Acted as legal counsel for the liquidator of a group company in Zhengzhou and assisted  the company in successfully applying for bankruptcy liquidation;
  • Acted as legal counsel for the liquidator and bankruptcy administrator of a Guangdong securities company in its administrative liquidation and bankruptcy liquidation;
  • Acted as legal counsel for the bankruptcy administrator of a Guangzhou steel company and participated in the bankruptcy liquidation proceedings;
  • Represented the major shareholder of a Guangdong construction company in filing claims and handling other related matters in the bankruptcy restructuring proceedings of a large Guangzhou real estate development company;
  • Represented a large domestic passenger airline company in filing claims in the bankruptcy liquidation proceedings of its controlling shareholder and handling the derivative actions;
  • Represented the Chinese shareholder of a large Sino-foreign joint venture cargo airline in the dissolution of that cargo airline and filing claims in the dissolution and liquidation procedures.
  • Having acted as a part-time arbitrator in a Guangzhou labor and personnel dispute arbitration committee for over 12 years and heard over 2,000 labor dispute arbitration cases as arbitrator;
  • Represented a NYSE-listed global science services giant in handling the matters of placement and compensation of employees in the dissolution and liquidation of a Guangzhou joint venture invested by it and a domestic A-share listed company;

  • Advised an international aviation flight academy in Shenzhen on the transfer, placement and compensation of over a hundred of its employees including pilots due to the change of its sponsor;
  • Advised a Hong Kong listed company mainly manufacturing and selling semiconductor lead frames on matters of employee confidentiality agreement and non-competition agreement in relation to a foreign invested enterprise owned by it in Dongguan.
