Carlyle’s Investment in China Pacific

We acted for The Carlyle Group in 2007 in relation to its investment in China Pacific Insurance at an amount of USD700 million. This is the largest private equity investment in China so far.
We acted for the financial adviser of China COSCO Holdings Company Limited, the listed flagship and integrating platform of China Ocean Shipping (Group) Company, in relation to its acquisition of the bulk cargo business from the COSCO Group and its subsidiaries, at a consideration of RMB34.6 billion.

Alibaba’s IPO

We represented Alibaba.com Limited, a leading China-based online marketplace for international and domestic trade, as PRC counsel in its HKSE IPO with an offering size of US$1.7 billion, which commenced trading on November 6, 2007. This is the largest IPO by a Chinese Internet/technology company. ALB named Alibaba’s IPO “China Deal of the Year”.
We acted as the underwriters’ counsel in the A share offering of COSCO in 2007. The deal was managed by China International Capital Corporation Limited with an offering size of RMB15.1 billion. This is the first large cap H share companies returning to A share markets recently.
We acted as the issuer’s counsel in the international public offering of Yingli Green Energy Holding Company Limited and its subsequent listing on NYSE in 2007. The offering size of Yingli’s IPO is USD 319 million.
We acted as the underwriters’ counsel in the HK IPO of Fosun Group in 2007, the largest private conglomerate in China. The deal is managed by Morgan Stanley, UBS and CICC with an offering size of US$1.3 billion.
We represented Kingsoft Corporation Limited, a major China-based software developer and online gaming operator, as PRC counsel in its US$100 million (HK$776 million) initial public offering and listing on the Hong Kong Stock Exchange, which commenced trading on October 9, 2007.

Hony Capital’s First RMB Fund

We advised Hony Capital in the successful structuring and closing of its first RMB fund, a limited partnership established under the amended PRC Partnership Law and by far one of the largest RMB-denominated private equity funds in China in terms of committed Capital. Unlike its government-sponsored siblings, the fund is a true “private” one in compliance with international market norms to the greatest extent permitted by applicable law. Founded in 2003 Hony Capital is a top tier private equity firm dedicated to China market.
We represented Texas Pacific Group in its US$288 million acquisition of NIS Group and its subsidiary Nissin Leasing (China) Co., Ltd.
We represented Skyflying Media Holding Limited in its equity financing in an amount of US$83 million subscribed by a group of investors led by Goldman Sachs.
We represented The Carlyle Group in its investment in Kaiyuan Hotel Management Group, the largest private hotel management company in China.
INTELLECTUAL PROPERTY
The North Face v.s. Xiushui Market

We represented the The North Face Apparel Corp. to win a lawsuit against Beijing Xiushui Market (the“Silk Street”) for the latter’s failure to stop the sales of fake North Face jackets in the market. The final judgment was rendered by Beijing High People’s Court on March 2008. The case was widely reported by media and has become a historic landmark to show the growing effort by foreign companies to take managers of such markets to court.
We represented Danaher and Shanghai Roche Pharmaceuticals respectively, in series legal proceedings against infringers before the Asian Domain Name Dispute Resolution Center and local courts in respect of infringement of COM and CN domain names. We won the cases and successfully got the domain names back to the clients.
